Description:
The Assistant General Counsel (AGC) serves as the lead lawyer for a subsidiary (the Company) of AmerisourceBergen (AB) in its Cork, Ireland office. The AGC reports to local Managing Director and receives guidance and support from a Vice President or higher-level attorney within AB Legal. The key focus of the AGC is support of the Company’s corporate governance, contract negotiations, licensure, wholesaling and related activities.
The AGC is responsible for managing delivery of all legal services, including oversight of human resource, immigration, intellectual property, real estate, vendor /technology support, litigation, data privacy/security, and compliance matters for the subsidiary.
PRIMARY DUTIES AND RESPONSIBILITIES:
- This role is equivalent to an Assistant General Counsel role.
- Acts as the Secretary to the Company and is responsible for preparing all Board of Directors meeting notices, presentations, resolutions and approvals, and meeting minutes.
- Draft and negotiate and advise regarding pharmaceutical manufacturer-facing agreements to ensure that these contracts accurately express the Company's strategy, objectives and minimize legal and regulatory risk.
- Provides support to negotiators in manufacturer-facing related matters such as global contracting strategy, contract language/provision review, and external risk assessment.
- Supports Company’s compliance with data privacy and security policies and requirements, including compliance with AB privacy and security policies, and applicable GDPR, and U.S. data privacy laws/requirements.
- Collaborate with AB’s Chief Privacy Officer and outside counsel on data privacy compliance
- Otherwise assists in managing the delivery of all legal services to the Company, including oversight of human resource and immigration matters, intellectual property issues, litigation, and compliance, and helps coordinate the retention and oversight of outside counsel involved in these and other matters
- Apprises and keeps management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of the Company
- Responsible for foreseeing and protecting the Company against legal risks
What your background should look like
EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
Qualified lawyer in Ireland, an EU country or in the United States with in excess of 9 years of experience in preparing and negotiating commercial services agreements.
MINIMUM SKILLS, KNOWLEDGE, AND ABILITY REQUIREMENTS:
- Working knowledge of Irish corporate law, EU and US healthcare,
- corporate governance, litigation, intellectual property, and employment law
