Description:
The Group Secretary's Office are accountable for enabling and supporting the efficient governance of the Group, through the Board of Directors, Board Committees and Subsidiary Boards.
This is a high energy leadership role which will ideally suit an individual with judgement, curiosity, drive and the ability to engage and influence effectively at senior levels.
The role combines corporate governance expertise with validated strategic project delivery capability. It involves working closely with the Group Secretary and the wider GSO team to assist their provision of a professional high quality service that is effective and 'easy to use' for the Group's boards and its Directors, the Group Executive Committee and wider colleague/customers of GSO.
- Drive a culture of delivering streamlined and effective oversight and decision-taking by board and management committees, whilst ensuring discharge of legal, corporate governance and regulatory requirements.
- Applying direct experience of market best practice, lead a review of corporate governance structures and practices and lead the implementation of change to make good governance easier.
- Work effectively with strategic transformation functions in the Group to afford strategic project delivery capability with deep corporate governance expertise.
- Lead on relevant strategic projects from a GSO perspective.
- Drive efficiencies in an assessment of governance implications (planning, processes, templates, minute-taking).
- Lead on governance aspects of relevant law and regulation e.g. SEAR implementation, ensuring directors' responsibilities are clearly mapped and communicated optimally.

- Essential- Third level academic qualification in a relevant field (e.g. Chartered Secretary; Law; Accounting) together with extensive market familiarity with relevant regulation, including Company Law and the Listing Rules, the Market Abuse Rules, Corporate Governance and current secretarial standard process.
- Strong eye for business, with an understanding of how Boards operate and an ability to identify the crucial information that Directors and senior executives need to enable them reach optimal business decisions;
- A capacity to contribute to business decision making and to operate expertly at Board and Senior Executive level, challenging, where vital, to ensure accurate governance is applied and Group values are adhered to;
- Excellent communicator, with influencing and partner management / engagement skills;
- Able to distil lengthy and complex discussion material and gather succinctly the critical issues that led to the conclusions/decisions taken;
- Demonstrated ability to handle demanding initiatives concurrently, balancing multiple priorities and complete within tight timeframes;
